PropTech VC Fund Framework
Project Objective
Develop an investor-ready venture capital fund model in the PropTech sector in France through a compliant financial engineering framework, jointly structured between a financial engineering company and a PropTech incubator. The assignment focused on transforming an investment thesis into a credible fund architecture with governance, operational logic, lifecycle clarity, and execution discipline suitable for presentation to prospective investors and strategic partners.
Core Mandate
The mandate was to create a robust venture capital fund framework capable of being presented to external investors with confidence. This meant bridging strategic ambition and execution discipline: translating an opportunity in proptech innovation into a structured fund vehicle with clear operating rules, risk boundaries, decision rights, and financial lifecycle consistency from fund launch through portfolio realization.
Investment Thesis Design: Defined the strategic rationale of the fund, including target market logic, portfolio orientation, value creation assumptions, and alignment between sector opportunity and investor expectations.
Fund Architecture: Structured the operating backbone of the fund across governance, decision flows, capital allocation principles, portfolio review mechanisms, and lifecycle checkpoints.
External Investor Positioning: Developed a framework that could support due diligence discussions by making the fund understandable, coherent, and financially disciplined before active investor solicitation.
Scope of Work
- Lifecycle Model: Mapped the full fund lifecycle from structuring and launch through sourcing, screening, investment, portfolio support, reporting, and exit realization.
- Financial Engineering: Built the financial logic supporting fund mechanics, including allocation principles, operating assumptions, and performance framing suitable for investor engagement.
- Compliance Framing: Ensured the project evolved within a financially compliant framework so the fund proposition could be advanced with stronger institutional credibility.
- Investor Readiness: Organized the structure, language, and governance narrative required to make the initiative presentable to external capital partners and strategic backers.
Development Timeline
My Function Across Stakeholders
Project Sponsors
Converted a strategic ambition into a structured and governable fund model, aligning the interests of the initiating parties around a coherent investment, governance, and operational framework.
Financial Engineering Partner
Supported the translation of technical structuring logic into a clear fund architecture, connecting investment mechanics with governance discipline and investor-facing clarity.
PropTech Incubator
Integrated the incubator’s ecosystem role into the operating model by linking pipeline access, startup proximity, market insight, and value creation potential with the fund’s investment logic.
Investors and Strategic Partners
Presented the initiative as a credible venture capital platform with clearer governance, lifecycle visibility, operating rationale, and strategic differentiation within the French PropTech market.
Key Outcomes and Strategic Value
- Investor-Ready Fund Model: Transformed an initial investment thesis into a structured venture capital framework with clearer architecture, governance logic, and operational coherence.
- Governance-Driven Credibility: Reinforced the attractiveness of the project by clarifying decision rights, role boundaries, oversight mechanisms, and lifecycle controls expected by sophisticated investors.
- Operational Clarity Across the Fund Lifecycle: Moved beyond concept-stage positioning by defining how the fund would function in practice from sourcing and investment review to portfolio support and exit preparation.
- Strategic Ecosystem Integration: Strengthened the market relevance of the vehicle by combining financial engineering capability with incubator-driven PropTech access, creating a more differentiated and credible platform.
PMI-Oriented Delivery Sensibility
- Integration: Balanced financial, legal, strategic, and ecosystem inputs into a single coherent development pathway.
- Risk and Governance: Treated compliance, oversight, and decision rights as foundational design variables rather than supporting documents.
- Stakeholder Management: Maintained alignment across organizations with different priorities, time horizons, and definitions of success.
Lessons Learned
- Investment Theses Need Operating Logic: A compelling thesis alone is not enough. Investors require clarity on how a fund will actually function, make decisions, govern risk, and create value over time.
- Governance Is Part of Product Design: In fund structuring, governance should not be treated as an administrative layer added at the end. It is central to the credibility and investability of the vehicle itself.
- Ecosystem Access Must Be Structurally Embedded: The strategic value of an incubator partnership becomes more credible when it is translated into sourcing, screening, and portfolio support mechanisms within the fund model.
- Compliance-Aware Structuring Improves Confidence: Integrating regulatory and financial engineering considerations early helps create a stronger basis for investor dialogue and reduces ambiguity in execution expectations.
